Brands, Inc. (the "Company") appointed Steve Bratspies as a director. His appointment is effective August 26, 2026, and he will stand for election to the Board of shareholders at the Company's next Annual Meeting. As of the date of this filing, Mr. Bratspies has not been appointed to a committee of the Board. Consistent with the Company's standard compensation arrangements for non-employee directors, which are described in the Company's most recent proxy statement, Mr. Bratspies will receive a one-time stock grant with a fair market value of $25,000 on August 27, 2026 and a prorated portion of his annual stock retainer. There is no arrangement or understanding between Mr. Bratspies and any other person pursuant to which he was selected as a director.
